GlasPacLX® One-Year Commitment and pricing agreement

  1. ON-PREMISE 1-Year Agreement Terms
    • A. This Agreement shall commence on the Effective Date and continue for a period of twelve (12) months from and after the ASAD (the “Initial Term”) or Renewal date for each site.
    • B. This Agreement shall renew automatically for successive twelve (12) month terms for each site, unless terminated. The Initial Term and any renewals of this Agreement are herein referred to as the “Term.” Either Party may terminate this Agreement at expiration of any Term by delivering written notice of termination (non-renewal) to the other Party no later than sixty (60) days before the expiration of any twelve (12) month Term. In the event of such notice of termination, this Agreement shall terminate effective as of the end of such twelve (12) month Term.
    • C. Customer acknowledges that the early termination of this Agreement will cause harm and financial loss to GTS which will be difficult to quantify, and that it will be otherwise inconvenient for GTS to obtain an adequate remedy for such harm and financial loss. Accordingly, in the event Customer terminates this Agreement and the GTS Service, without cause, prior to the expiration of any Term, Customer shall pay GTS, within thirty (30) days of termination, fees equal to fifty percent (50%) of remaining Monthly Fees for the Term.
  2. ONLINE 1-Year Agreement Terms
    • A. This Agreement shall commence on the Effective Date and continue for a period of twelve (12) months from and after the ASAD (the “Initial Term”) or Renewal date for each site.
    • B. This Agreement shall renew automatically for successive twelve (12) month terms for each site, unless terminated. The Initial Term and any renewals of this Agreement are herein referred to as the “Term.” Either Party may terminate this Agreement at expiration of any Term by delivering written notice of termination (non-renewal) to the other Party no later than sixty (60) days before the expiration of any twelve (12) month Term. In the event of such notice of termination, this Agreement shall terminate effective as of the end of such twelve (12) month Term.
    • C. Customer acknowledges that GTS has made long-term financial commitments to others in order to provide the Online Service System to Customer pursuant to this Agreement. Customer further acknowledges that the early termination of this Agreement will cause harm and financial loss to GTS which will be difficult to quantify, and that it will be otherwise inconvenient for GTS to obtain an adequate remedy for such harm and financial loss. Accordingly, in the event Customer terminates this Agreement and the GTS Service, without cause, prior to the expiration of any Term, Customer shall pay GTS, within thirty (30) days of termination, fees equal to fifty percent (50%) of remaining Monthly Fees for the Term plus the sum of one thousand dollars ($1,000).
